Terms of service

These terms cover your use of the Teal Apex Studio website, the intake wizard, and the client portal (together, the "Service"), operated by Teal Apex Solutions LLC, a Georgia limited liability company. By using the Service, locking in a project brief, or signing in to the portal, you accept these terms. The paid engagement itself is governed by our Client Services Agreement; if these terms and that agreement conflict, the agreement controls.

1. Your account and access code

Portal access is granted through a project email and access code. Keep your access code private; you are responsible for everything done under your access. If you think your code is compromised, tell us right away and we will rotate it.

2. Acceptable use

You agree not to:

• Access accounts, projects, or data that are not yours, or probe the Service's security.
• Upload malware or code intended to harm the Service or its users.
• Use the Service to harass anyone or to send spam.
• Scrape the Service or copy substantial portions of it.
• Misrepresent who you are.

3. The portal is the record

Project communication happens through the portal: messages, files, milestones, deliverable reviews, and approvals. The portal record is the authoritative record of what was requested, shared, approved, and decided. Clicking Approve on a deliverable in the portal is acceptance of that deliverable under the Client Services Agreement, including its deemed-acceptance window for deliverables left unanswered. If something important is agreed outside the portal, we confirm it in the portal so the record stays complete; please do the same.

4. Files you upload

• You confirm you own or have the rights to everything you upload, and that your uploads do not infringe anyone's rights or break any law.
• Uploads must be free of malware. We may scan, reject, or remove files that appear malicious or unlawful.
• Uploads are subject to reasonable size and type limits shown in the portal. Executables are not accepted.
• Your uploads remain yours. You grant us a license to store and use them to do the project work.

5. Previews and staging are confidential

Preview links, staging sites, and drafts shared before launch are confidential and for your review only. Do not publish or redistribute them. Staging sites may be incomplete and may change or go offline without notice.

6. Intellectual property

Ownership of project work follows the Client Services Agreement: the Studio owns all work product until payment in full. On full payment you own the final deliverables, except the Studio's pre-existing tools, templates, component libraries, build system, and prompt tooling, which stay with the Studio and are licensed to you for use within your delivered product. The Service itself (design, copy, code, and marks) belongs to Teal Apex Solutions LLC. We may show finished work in our portfolio unless you opt out in writing.

7. Privacy summary

We store your intake answers and locked-in brief, your design profile, portal messages, files you upload, deliverable and approval records, and basic account details. Data lives in our database and file storage on Supabase; the site is served by Vercel and email is delivered by Resend. We do not sell, rent, or trade your data. We use it to run your project and the Service, nothing else. You can ask what we hold, ask us to correct it, or ask us to delete it (subject to records we need to keep for the engagement) through the Contact page. 8. Disclaimers

The Service is provided as is. We work to keep it available and accurate, but we do not promise uninterrupted access, and we are not liable for indirect or consequential damages arising from use of the Service. For paid project work, the warranty and liability terms of the Client Services Agreement apply instead. Nothing on the Service is legal, tax, or financial advice.

9. Changes to these terms

We may update these terms as the Service grows. The date at the top reflects the last meaningful update, and we will flag material changes in the portal. Continued use of the Service after a change means you accept the updated terms.

10. Governing law and contact

These terms are governed by the laws of the State of Georgia, with venue in the state or federal courts serving Columbia County, Georgia. Questions: use the Contact page or message us in the portal.
